We advise on all types of capital markets transactions, including initial public offerings, rights issues, accelerated book buildings and other types of secondary transactions, admission to trading of shares, bonds and other types of financial instruments, spin-offs, de-listings, share buy-backs, etc. Lidström & Co also advises on various types of equity-based incentive programmes in listed companies, shareholding disclosure requirements, MAR disclosure obligations, PDMR transaction reporting, as well as other relevant Swedish market regulation and practice. We also represent bidders, targets, shareholders and the target board in public M&A transactions, primarily takeover bids and the issuance of in-kind consideration in M&A transactions.

Lidström & Co represents clients in connection with mandates ranging the full spectrum of M&A transactions, including controlled auction processes, joint ventures, carve-outs, negotiated transfers of shares and/or assets, leveraged buyouts and venture capital investments. We provide all types of legal services in connection with M&A transactions, e.g. legal due diligence, transaction structuring, contract negotiation, FDI filings, transaction completion, post-closing structuring, etc. 

Lidström & Co advises and assists clients with respect to shareholders and board meetings in both private and listed companies. We are regularly engaged to chair as well as keep the minutes at shareholders meetings, as well as to serve in nomination committees of listed companies. Lidström & Co also advises on corporate governance matters in both private and listed companies, and the firm regularly represents both parent companies and minority shareholders in compulsory purchase proceedings under the Swedish Companies Act. In addition, we are appointed special examiner in accordance with the Swedish Companies Act. 

We advise on and represent clients in connection with the drafting, negotiation and management of commercial contracts and other agreements and arrangements relating to the business of our clients, including outsourcing and operational agreements – e.g. purchase and supply agreements, distribution, agency and franchise agreements, and general terms and conditions of for various types of businesses – as well as outsourcing and joint venture agreements and other types of operational cooperation arrangements. Lidström & Co also advises on shareholder agreements and other arrangements for the cooperation among shareholders as well as M&A-related agreements and arrangements, e.g. carve-out and restructuring agreements, as well as integration projects following M&A and restructuring transactions.
